These Terms of Service ("Terms") govern your access to and use of the Audio Loop Lab website and application (the "Service"). By creating an account, checking the agreement box at signup, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Audio Loop Lab is a practice tool for anyone that lets you create timed loop sections, adjust speed and pitch, and organize practice sessions from YouTube videos or your own uploaded audio files. Free accounts and paid plans have different session limits, described in the app at the time you sign up or upgrade.
You must provide accurate information when creating an account and are responsible for keeping your login credentials secure. You're responsible for all activity that happens under your account. Let us know right away at support@audiolooplabs.com if you suspect unauthorized use.
Paid plans and one-time purchases (including temporary session-limit "boosts") are billed through Stripe. By subscribing or making a purchase, you authorize us to charge the payment method you provide for the applicable fees, including recurring charges for subscriptions until you cancel.
Subscriptions renew automatically at the then-current price until canceled through the Manage Subscription option in the app or by contacting us. One-time purchases (such as session boosts) are non-recurring and expire automatically at the end of their stated period.
All fees are non-refundable except where required by law or where we decide, at our discretion, to issue a refund. Prices may be shown in different currencies for convenience; the amount actually charged is the amount your payment processor settles in your billing currency.
The Service can load and play videos hosted on YouTube and other third-party platforms via their standard embed/player mechanisms. We do not host, control, or take responsibility for that third-party content. Your use of any third-party content through the Service is also subject to that platform's own terms (for example, YouTube's Terms of Service). We are not responsible if a video becomes unavailable, is region-restricted, or cannot be embedded.
You may upload audio files, notes, and other content ("Your Content") as part of using the Service. You retain ownership of Your Content. You're solely responsible for Your Content and for having the rights necessary to upload and use it (for example, audio files you don't have rights to). You grant us a limited license to store, process, and display Your Content solely to operate the Service for you and anyone you explicitly choose to share it with.
You agree not to: use the Service for any unlawful purpose; attempt to bypass session limits, quotas, or payment mechanisms; interfere with or disrupt the Service or its infrastructure; scrape or reverse-engineer the Service; or upload content that infringes someone else's rights or violates applicable law. We may suspend or terminate accounts that violate these Terms.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY PARTICULAR THIRD-PARTY VIDEO OR AUDIO CONTENT WILL REMAIN AVAILABLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL AUDIO LOOP LAB OR RAHUL PANDHE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU ACTUALLY PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) FIFTY U.S. DOLLARS ($50).
Nothing in these Terms limits liability that cannot be limited or excluded under applicable law, including liability for our own fraud, willful misconduct, or gross negligence, or for death or personal injury caused by our negligence. Some jurisdictions don't allow the exclusion of certain warranties or the limitation of certain damages, so some of the above limitations may not apply to you, and you may have additional rights.
You agree to indemnify and hold us harmless from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of Your Content, your violation of these Terms, or your violation of any third party's rights (including a third-party content platform's terms).
You and Audio Loop Lab agree to first try to resolve any dispute informally by contacting support@audiolooplabs.com. If we can't resolve a dispute informally within 30 days, you and Audio Loop Lab agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration under the rules of the American Arbitration Association, rather than in court, except that either party may bring an individual claim in small claims court.
Class action waiver: Any arbitration or proceeding will be conducted only on an individual basis and not as a class, collective, or representative action.
Opt-out: You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing support@audiolooplabs.com with your name, account email, and a clear statement that you wish to opt out of arbitration.
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles, except to the extent superseded by the Federal Arbitration Act. For any dispute not subject to arbitration, you agree to the exclusive jurisdiction of the state and federal courts located in California.
We may update these Terms from time to time. If we make material changes, we'll update the "Last updated" date below and, where appropriate, notify you in the app. Continuing to use the Service after changes take effect means you accept the updated Terms.
